INTELLECTUAL PROPERTY AND PORTFOLIO POLICY

Nominal Designs LLC

Effective Date: October 13, 2026

1. Purpose

This policy explains how intellectual property rights are handled in connection with logo design, brand identity, and graphic design services provided by Nominal Designs LLC.

It should be read together with our Terms of Service and the individual project quotation or agreement.

2. Client Ownership of Final Deliverables

Subject to full payment and any specific written agreement, we intend to transfer to the client the intellectual property rights we own in the final, approved, original design deliverables created specifically for that client, to the extent permitted by applicable law.

The transfer will cover only the deliverables identified in the agreed project scope and will not automatically extend to excluded materials or third-party assets.

Where a separate written assignment or transfer document is required, the parties will cooperate to complete it.

3. Preliminary Concepts and Unselected Designs

Unless otherwise agreed in writing, ownership of unused concepts, rejected logo designs, preliminary sketches, alternative design directions, and unfinished work remains with Nominal Designs LLC.

Clients may not use, reproduce, modify, distribute, or commercially exploit an unselected concept without our written permission and any required payment or licence.

Payment for a project does not automatically grant ownership of every concept created during the design process.

4. Source and Editable Files

The delivery of editable or source files, including Adobe Illustrator, Photoshop, or other native project files, depends on the agreed package or written quotation.

If editable files are included, they will be supplied after the applicable payment obligations have been satisfied.

If source files are not included in the original scope, they may be available for an additional fee, subject to technical feasibility and any third-party licensing restrictions.

5. Third-Party Assets

A project may incorporate fonts, stock imagery, mockups, plugins, templates, or other materials owned or licensed by third parties.

These materials are not automatically transferred to the client. Their use remains subject to the applicable licence, including restrictions on commercial use, modification, redistribution, or embedding.

Where a separate licence or purchase is required, we will identify that requirement where reasonably practicable.

Clients are responsible for obtaining any additional licences required for their intended use unless the project agreement expressly states otherwise.

6. Client-Supplied Materials

Clients retain ownership of materials they provide, subject to any rights held by other parties.

By supplying these materials, clients authorize Nominal Designs LLC to use them as necessary to perform the project.

Clients confirm that they have the necessary permissions to supply and use the materials for the agreed purpose.

7. Portfolio and Promotional Rights

We value the opportunity to showcase our creative work.

We may request permission to feature completed projects in our website portfolio, social media, case studies, proposals, and promotional materials.

We will seek permission before publicly displaying identifiable client work unless the client has already made the work public and its use is otherwise permitted, or a separate written agreement authorizes such use.

Clients may ask us to keep a project confidential or agree to a delayed publication date. Any such arrangement should be confirmed in writing.

8. Trademark Searches and Registration

We provide creative design services and do not automatically provide legal trademark clearance, registration, or infringement assessments.

Clients are responsible for checking the availability of their brand name, logo, slogan, and other identifying elements before commercial use or registration.

We do not guarantee that a design can be registered as a trademark or that it will not conflict with another party’s rights.

Clients should consult a qualified trademark professional where appropriate.

9. Use of Work Before Full Payment

Unless we agree otherwise in writing, clients may not commercially use final design deliverables before completing the agreed payment obligations.

Any preliminary previews or watermarked concepts are provided for evaluation only and may not be reproduced, published, or used commercially without permission.

10. Copyright Infringement Concerns

If you believe that material on our website or in our work infringes your intellectual property rights, contact us with:

* Your name and contact information.
* Identification of the protected work.
* A description of the allegedly infringing material.
* The relevant website page, file, or project reference.
* Information reasonably supporting your claim.

We will review credible complaints and take appropriate action where warranted.
