1. Agreement to These Terms

These Terms of Service govern your access to and use of the Nominal Designs LLC website and creative services.

By accessing our website, requesting a quotation, placing an order, making a payment, or engaging our services, you agree to these Terms of Service and any additional project agreement accepted by both parties.

If you do not agree to these terms, please do not purchase or use our services.

2. About Nominal Designs

* Custom logo design.
* Brand identity development.
* Brand strategy and visual direction, where included in the agreed scope.
* Brand guidelines and identity systems.
* Typography and colour systems.
* Social media branding and graphics.
* Packaging, stationery, and print collateral.
* Other graphic design services expressly agreed with the client.

The exact deliverables, price, timeline, revision allowance, and project requirements will be communicated in the relevant quotation, package description, invoice, or written agreement.

3. Eligibility

By purchasing our services, you confirm that you are legally capable of entering into a binding agreement under the laws applicable to you.

If you are purchasing on behalf of a company or another organization, you confirm that you have authority to act on its behalf.

4. Quotes, Orders, and Project Approval

A quotation describes the services proposed, deliverables, pricing, and any applicable project conditions.

A project begins when we accept the order and the agreed initial payment or other commencement conditions have been satisfied.

Unless otherwise stated in writing, quotations are valid for 14 calendar days from the date issued. We may revise an expired quotation.

Any request that materially changes the original brief, deliverables, or scope may require a revised quotation, additional payment, or a revised delivery date.

5. Payments

The applicable project fee and payment schedule will be stated in the quotation, invoice, checkout page, or written agreement.

Unless otherwise agreed:

* An initial deposit or full advance payment is required before work begins.
* For projects paid in instalments, each instalment must be paid according to the agreed schedule.
* Final deliverables may be withheld until all outstanding project fees have been paid.
* Work outside the agreed scope may incur additional charges.
* Clients are responsible for any applicable bank charges, currency conversion fees, or payment-provider charges disclosed before payment.

We may pause work when a payment is overdue. A pause caused by non-payment may affect the delivery schedule.

We will not knowingly charge a client for services that were not agreed upon without obtaining the necessary approval.

6. Client Responsibilities

Clients agree to:

* Provide an accurate creative brief and relevant business information.
* Supply any text, images, brand assets, or reference materials needed for the project.
* Ensure that supplied materials may legally be used for the intended purpose.
* Provide clear feedback and consolidated revision requests.
* Review designs carefully and approve deliverables before final release.
* Make payments when due.
* Respond to reasonable requests for information or approval.

Delays in providing materials, feedback, or approvals may extend the project timeline.

7. Design Process and Revisions

The design process may include research, creative development, concept presentations, feedback, refinement, and final file preparation, depending on the agreed service.

The number of concepts and revisions included will be specified in the relevant package or agreement.

A revision means an adjustment to a presented design within the original approved brief. A new direction, replacement concept, or substantial change to the original requirements may be treated as additional work.

Where unlimited revisions are expressly included, they apply to reasonable refinements within the original agreed scope. They do not automatically include unlimited new concepts, additional deliverables, or a complete change of direction.

Clients should review each submission carefully and communicate requested changes clearly.

8. Project Timelines

Estimated delivery dates will be communicated before or during the project.

Timelines depend on the scope of work, client responsiveness, timely payments, and the availability of required information.

We will make reasonable efforts to meet agreed deadlines but cannot guarantee a deadline where delays result from circumstances beyond our reasonable control.

If a significant delay arises, we will communicate the issue and, where reasonably possible, agree on a revised timeline.

9. Intellectual Property and Ownership

Ownership and usage rights are governed by the Intellectual Property and Portfolio Policy published on our website, together with any specific written project agreement.

Unless otherwise agreed, payment in full is required before ownership or the agreed final usage rights in eligible final deliverables transfer to the client.

Unused concepts, preliminary sketches, rejected designs, working files, proprietary methods, and third-party assets are not automatically transferred to the client.

Fonts, stock images, mockups, templates, and other third-party assets remain subject to their respective licences and terms.

10. Client-Supplied Materials

You retain responsibility for the materials you provide to us.

You confirm that you own or have permission to use the supplied names, logos, photographs, text, trademarks, and other content for the intended project.

You authorize us to use those materials only as reasonably necessary to perform the agreed services.

You agree not to knowingly supply materials that infringe another party’s intellectual property rights or violate applicable law.

11. No Guarantee of Trademark Registration

Our logo and branding services are creative services, not legal trademark clearance services.

We do not guarantee that a proposed business name, logo, slogan, or visual identity is available for registration, legally protectable, or free from conflict with existing rights.

Clients are responsible for conducting appropriate trademark searches and obtaining legal advice before using or registering a brand commercially.

12. Confidentiality

Both parties should take reasonable steps to protect confidential information received during a project.

We will use confidential client information as reasonably necessary to perform the agreed services, meet legal obligations, or exercise our contractual rights.

A separate non-disclosure agreement may be signed where required.

13. Portfolio and Publicity

We may request permission to showcase completed work for promotional purposes.

Unless you have given permission or another written agreement applies, we will not assume that private, unreleased, or identifiable client work may be publicly displayed.

Clients who approve portfolio use should ensure that they have authority to permit any relevant disclosures.

14. Third-Party Services

Our work may involve third-party software, design tools, stock libraries, payment services, website platforms, or printing providers.

Their services are subject to their own terms, availability, and licensing restrictions. We are not responsible for independent third-party service failures outside our reasonable control.

Any third-party expenses included in a project will be disclosed where reasonably practicable.

15. Prohibited Use

You must not use our website or services to:

* Violate applicable law or another party’s rights.
* Submit fraudulent orders or payment information.
* Distribute malicious software or attempt unauthorized access to our systems.
* Request work intended to facilitate fraud, impersonation, or other unlawful conduct.
* Misrepresent our services, credentials, or work as your own without the necessary rights.

We may refuse or discontinue work where a request is unlawful or materially inconsistent with these terms.

16. Cancellation and Refunds

Project cancellation, refund eligibility, and payment adjustments are governed by our Refund and Cancellation Policy.

Nothing in these Terms of Service excludes rights or remedies that cannot lawfully be excluded under applicable law.

17. Limitation of Liability

To the extent permitted by applicable law, Nominal Designs LLC will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services.

We are not responsible for business performance, sales, revenue, customer acquisition, or commercial results resulting from the use of creative deliverables.

To the extent permitted by law, our aggregate liability arising from a particular project will not exceed the fees paid or payable for the affected services.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law, including any applicable liability for fraud or other non-excludable matters.

18. Indemnification

To the extent permitted by law, you agree to be responsible for claims, losses, and reasonable expenses arising from your unlawful use of our services or your infringement of third-party rights through materials you supplied, except to the extent caused by our own unlawful conduct or breach.

19. Suspension or Termination

Either party may request termination of a project in accordance with the Refund and Cancellation Policy and any applicable written agreement.

We may suspend or terminate services for material breach, unlawful requests, non-payment, or other legitimate grounds, subject to applicable law and any notice or cure period required by the agreement or law.

Termination does not automatically remove payment obligations for work properly completed or other amounts lawfully due.

20. Governing Law and Disputes

The governing law and forum for disputes will be determined by the applicable law and any valid written agreement between the parties.

Before commencing formal proceedings, both parties are encouraged to attempt to resolve disputes through good-faith written communication.

Nothing in this section prevents either party from exercising mandatory legal rights or seeking urgent legal relief where appropriate.

21. Changes to These Terms

We may update these Terms of Service from time to time. Changes will be published on our website with an updated effective date.

The terms applicable to an existing project will be interpreted alongside the accepted quotation or written agreement and applicable law.
